Terms and Conditions – Transitional Coaching

Transitional Coaching, located in Eindhoven and registered under Chamber of Commerce number 844 06 135. 

Article 1 - Definitions and Applicability

  1. In these terms, “client” refers to the party who accepts these terms, and “Transitional Coaching” refers to the service provider receiving the assignment.
  2. Transitional Coaching and the client may or may not be the same entity.
  3. These terms apply to all offers and agreements from Transitional Coaching unless otherwise agreed upon in writing.
  4. Any deviations from these terms are valid only if explicitly agreed upon in writing.
  5. The applicability of any terms of the client is expressly rejected by Transitional Coaching unless accepted in writing by Transitional Coaching.
  6. No rights can be derived from the silent non-application of these terms.

Article 2 - Quotes and Offers

  1. Quotes from Transitional Coaching are based on the information provided by the client.
  2. All quotes and offers from Transitional Coaching are without obligation unless explicitly stated otherwise in the offer.
  3. The quoted rates for businesses are exclusive of VAT, while rates for individuals are inclusive of VAT unless otherwise indicated.
  4. Quotes do not automatically apply to future assignments.
  5. Transitional Coaching cannot be held to a quote if the client could reasonably understand that (part of) the quote contains an obvious mistake or clerical error.

Article 3 - Formation and Execution of Agreement

  1. An agreement between Transitional Coaching and the client is established through offer and acceptance.
  2. An assignment is given by returning a signed quote from Transitional Coaching or by written approval of the sent quote.
  3. Transitional Coaching commits to a best-effort obligation in the execution of the agreement and will carry it out to the best of its knowledge and ability.
  4. Transitional Coaching may perform its services (partly) with the help of third parties engaged by it.
  5. In case of force majeure that makes it reasonably impossible for Transitional Coaching to fulfill the agreement, the execution of the agreement will be suspended. At a later time, this will either be fulfilled or the agreement will be terminated, all without any obligation to pay compensation.
  6. If, during execution, it becomes apparent that changes or additions to the agreement are necessary for proper execution, Transitional Coaching will inform the client, and both parties will agree to a reasonable adjustment regarding time and costs in a timely manner.

Article 4 - Client Cooperation

  1. Transitional Coaching will only request information necessary for the execution of the agreement. The client must inform Transitional Coaching if any changes occur after the agreement is established.
  2. The client must fully cooperate in finding solutions to their situation. If the client is unwilling to cooperate sufficiently, Transitional Coaching reserves the right to return the assignment, with full settlement of hours already spent.
  3. If delays in execution arise due to insufficient client cooperation, the resulting extra costs will be borne by the client. Transitional Coaching may charge for the additional work required.

Article 5 - Payment

  1. Payments must be made within the term stated on the invoice, using the specified method unless otherwise agreed. If no term is agreed, payment must be made within six (6) days of the invoice date.
  2. If payment in installments is agreed upon and the client fails to pay on time, Transitional Coaching reserves the right to suspend further execution of services.
  3. From the moment of default, the client owes statutory interest on the outstanding amount.

Article 6 - Cancellation/Termination of Agreement

  1. Transitional Coaching reserves the right to cancel a service or refuse a client’s participation without stating reasons.
  2. Clients may cancel up to six (6) weeks before the start of a program or session without incurring costs. Late cancellations or non-attendance require full payment.
  3. Individual sessions may be canceled or rescheduled free of charge up to 48 (business) hours in advance. Cancellations after this period may incur the full fee.

Article 7 - Liability and Risk

  1. Transitional Coaching is not liable for damages arising from a client’s failure to follow advice properly.
  2. Liability is limited to the total fee amount for the assignment in question.

Article 8 - Force Majeure

  1. Transitional Coaching is not liable for failure to meet obligations due to force majeure. Both parties may dissolve the agreement after two (2) months of force majeure without compensation.

Article 9 - Intellectual Property and User Rights

  1. All intellectual property rights remain with Transitional Coaching. Materials provided may not be reproduced, distributed, or used by others without explicit permission.

Article 10 - Confidentiality

  1. Transitional Coaching treats all client information as confidential, except in emergencies where safety is at risk.

Article 11 - Complaints Procedure

  1. Complaints must be submitted in writing within eight (8) days of the service delivery. Submitting a complaint does not exempt the client from payment obligations.

Article 12 - Final Provisions

  1. If any provision is void or annulled, the remaining terms remain valid, and a new provision will replace it with consideration for its original intent.
  2. Dutch law governs these terms.
  3. These terms remain valid if Transitional Coaching changes its name, legal form, or ownership.
